Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Tessary Software Private Limited (CIN: U62099KA2026PTC218247) (“Tessary,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms.

1. Acceptance of Terms

By using the Services, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old to use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Service Overview

The Services provide AI-powered testing, analysis, and related workflow capabilities for business and product use cases.

4. Accounts and User Responsibility

You are responsible for:

  • Maintaining the confidentiality and security of your account credentials.
  • Ensuring account information is accurate and up to date.
  • All activities that occur under your account.

You must promptly notify us of any unauthorized account use.

5. Acceptable Use

Tessary is intended for legitimate product research and usability testing. You agree not to:

  • Use the Services for unlawful, harmful, or fraudulent activity.
  • Interfere with, disrupt, or compromise the integrity or security of the Services.
  • Attempt unauthorized access to systems, accounts, or data.
  • Violate intellectual property, privacy, or other rights of any person or entity.
  • Use the Services in a manner that breaches applicable laws, regulations, or contractual obligations.
  • Resell, sublicense, or commercially redistribute access to the Services without our prior written authorization.
  • Use the Services to test or interact with content that is illegal, obscene, or violates the rights of any third party, including but not limited to adult content, content that promotes violence or hate, or any content that infringes intellectual property rights.
  • Circumvent usage limits, share accounts, or use the Services in a manner that places unreasonable load on the platform.

Tessary reserves the right to suspend or terminate access for any user found to be in violation of this policy.

6. User Content and License

You retain ownership of the content and information you submit to the Services (“User Content”).

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display User Content solely as needed to provide, secure, improve, and support the Services.

You represent that you have all rights and permissions necessary to provide User Content and to authorize the uses described in these Terms.

Except for User Content and rights expressly granted to you, all rights, title, and interest in and to the Services, including related intellectual property, remain with Tessary and its licensors.

Subject to these Terms and applicable law, you may use generated outputs for your lawful internal business purposes. You are responsible for reviewing outputs and ensuring your use does not infringe third-party rights or violate applicable law.

7. Third-Party Services

The Services may rely on third-party providers, including authentication providers, AI providers, analytics providers, infrastructure providers, and support providers.

We are not responsible for third-party services, and their availability or performance may affect the Services. Where required for business use cases, additional data processing terms may be made available by written agreement.

8. AI Output Disclaimer

The Services may generate AI-assisted content and outputs. AI-generated results may be incomplete, inaccurate, or unsuitable for your specific use case. You are responsible for reviewing and validating outputs before relying on them.

9. Fees and Billing

Certain features may be offered on a paid basis now or in the future. If fees apply, pricing and payment terms will be provided through applicable ordering, plan, or billing materials.

You are responsible for all applicable taxes, duties, and governmental charges, except taxes based on our net income. Where applicable, fees are billed in advance for each billing period, and subscriptions may renew automatically unless canceled before the renewal date. Except where required by law or expressly stated in applicable plan terms, fees are non-refundable. We may change pricing from time to time and will provide advance notice before material pricing changes take effect.

10. Suspension and Termination

We may suspend or terminate access to the Services if:

  • You violate these Terms.
  • We reasonably believe suspension is necessary to protect security, legal compliance, or platform integrity.
  • Continued access creates risk to us, other users, or third parties.

You may stop using the Services at any time. Upon termination, your right to access and use the Services ends, and provisions that by their nature should survive termination will remain in effect.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. IF YOU HAVE NOT PAID ANY FEES IN THAT PERIOD, OUR TOTAL LIABILITY WILL NOT EXCEED USD $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless Tessary Software Private Limited and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services.
  • Your User Content.
  • Your violation of these Terms or applicable law.

14. Governing Law and Disputes

These Terms and any dispute, claim, or controversy arising from or relating to these Terms or the Services will be governed by the laws of India, without regard to conflict-of-law principles.

Any dispute, claim, or controversy arising from or relating to these Terms or the Services will be finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended).

The seat and venue of arbitration will be Bengaluru, Karnataka, India.

Nothing in this section prevents either party from seeking interim or injunctive relief, or arbitration support and enforcement remedies, before courts of competent jurisdiction in Bengaluru, Karnataka, India.

15. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will update the “Last Updated” date and provide notice as required by law. Continued use of the Services after updates become effective constitutes acceptance of the updated Terms. Where practicable, we provide reasonable advance notice before material changes become effective.
